PROMOTIONAL OFFER
TERMS AND
CONDITIONS

The Promoter is Priority Pass Limited, registered in England and Wales with company number 02728518, having its registered office at 3 More London Riverside, London, SE1 2AQ, United Kingdom (“Priority Pass”).

1. The promotion means any offers typically characterised by a discount (money-off or %-off) offered by Priority Pass to entrants on Priority Pass website (the “Promotion”).
2. The Promotion shall be applied to all relevant memberships as indicated by Priority Pass, such memberships shall be subject to Priority Pass standard conditions of use available at: https://www.prioritypass.com/en/conditions-of-use.
3. The Promotion is only available to entrants if, at the time of taking advantage of the Promotion, entrants do not already have an active Priority Pass membership. The Promotion cannot be used in conjunction with any other promotion unless otherwise indicated.
4. The Promotion is non-negotiable and non-transferable. No cash or credit alternatives shall be offered.
5. The Promotion applies to the base price and does not include additional attributes.  The Promotion does not apply to additional modules, add-ons and third-party products.
   
   

1. The Promotion will run from 09:00am (GMT) on 1^st November 2024 (the "Opening Date") to 11:59pm (GMT) on 31^st December 2024 (the "Closing Date") 
2. All Promotion entries must be received by Priority Pass at [www.prioritypass.com/en/campaigns/ldn/keyword/brandtravel] by no later than 11:59pm (GMT) on the Closing Date.
3. To take part of the Promotion, entrants must by the Closing date:
   1. read and accept to be bound by (i) these terms and conditions and (ii) Priority Pass standard conditions of use available at: https://www.prioritypass.com/en/conditions-of-use; and
   2. join Priority Pass membership by creating an online account, submitting the online entry form provided on [www.prioritypass.com/en/campaigns/ldn/keyword/brandtravel] and paying the applicable fee.
4. Priority Pass will not accept:
   1. responsibility for Promotion entries that are lost, mislaid, damaged or delayed in transit, regardless of cause, including, for example, as a result of any postal failure, equipment failure, technical malfunction, systems, satellite, network, server, computer hardware or software failure of any kind; or
   2. proof of posting or transmission as proof of receipt of entry to the Promotion.
5. By submitting a Promotion entry, you are agreeing to be bound by these terms and conditions.
   
   

1. The Promotion is only open to all entrants aged 18 years or over, except:
   1. employees of Priority Pass or its holding or subsidiary companies;
   2. employees of agents or suppliers of Priority Pass or its holding or subsidiary companies, who are professionally connected with the Promotion or its administration; or
   3. members of the immediate families or households of (a) and (b) above.
2. In taking part of the Promotion, you confirm that you are eligible to do so and eligible to receive the discount. Priority Pass may require you to provide proof that you are eligible to enter the Promotion.
3. Priority Pass will not accept Promotion entries that are:
   1. automatically generated by computer;
   2. completed by third parties or in bulk;
   3. illegible, have been altered, reconstructed, forged or tampered with;
   4. photocopies and not originals; or
   5. incomplete.
4. There is a limit of one entry per person. Entries on behalf of another person will not be accepted and joint submissions are not allowed.
   
   

1. You shall hold Priority Pass harmless and fully indemnified Priority Pass from and against any and all costs, losses, expenses, liabilities and damages whatsoever that may arise as a result of taking part in the Promotion (including without limitation any loss of profits, loss of revenue, loss of goodwill that arises out of or in connection with the Promotion) or from our refusal to allow you to take part in the Promotion or our withdrawal of the Promotion or any other failure or inability by you to participate in or benefit from the Promotion for any reason. Nothing in these terms and conditions shall exclude or limit either party’s liability in respect of personal injury or death caused by negligence, or for fraud.
2. For the avoidance of doubt, under no circumstances shall Priority Pass be liable for any breach of state or country law that may occur as a result of your participation in the Promotion.
   
   

1. By taking part of the Promotion, all entrants consent to the use of their personal data by Priority Pass for the purposes of the administration of the Promotion and the membership and any other purposes to which the entrant has consented.
2. Priority Pass shall only process your personal information as set out in the privacy notice found on Priority Pass website at https://www.prioritypass.com/privacy-notice.
   
   

1. If there is any reason to believe that there has been a breach of these terms and conditions or incorrect, illegible, fraudulent or other invalid or improper information has been provided, Priority Pass may, at its sole discretion, reserve the right to exclude you from participating in the Promotion.
2. Priority Pass reserves the right to cancel, amend, terminate or temporarily suspend this Promotion in the event of any unforeseen circumstances outside its reasonable control, with no liability to any entrants or third parties but will always endeavour to minimize the effect to the entrants in order to avoid undue disappointment.
3. Priority Pass makes no representations or warranties, implicit or explicit, as to your legal right to participate in the Promotion nor shall any of Priority Pass’ employees, licensees, distributors, affiliates, subsidiaries, advertising, promotion or other agencies, media partners, agents or retailers have the authority to make any such representations or warranties.
4. Priority Pass reserves the right to hold void, suspend, cancel, or amend the Promotion where it becomes necessary to do so and/or review and revise these terms and conditions at any time without giving prior notice and, by continuing to take part in the Promotion subsequent to any revision of these terms and conditions, the entrants shall be deemed to have agreed to any such new or amended terms and the entrant agrees that no liability shall attach to Priority Pass as a result thereof.
5. If any provision of these terms and conditions is held invalid by any law, rule, order or regulation of any government, or by the final determination of any court of a competent jurisdiction, such invalidity shall not affect the enforceability of any other provisions not held to be invalid.
6. These terms and conditions shall be governed by the laws of England and Wales, and the parties submit to the exclusive jurisdiction of the courts of England and Wales.
