1. The Promoter
The promoter of this Instagram prize draw (the “Prize Draw”) is: PRIORITY PASS LIMITED, registered in England and Wales with company number 02728518, having its registered office 3 More London Riverside, London, SE1 2AQ, United Kingdom, United Kingdom (the “Promoter”).
2. How to enter
2.1 The Prize Draw will run from 09:00am (UK time) on 1st December 2024 (the "Opening Date") to 11:59pm (UK time) on 11th December 2024 (the "Closing Date") inclusive (the “Entry Period”).
2.2 All Prize Draw entries must be received by the Promoter by no later than 11:59pm on the Closing Date. All Prize Draw entries received after the Closing Date are automatically disqualified. 2.3 To enter the Prize Draw, entrants must during the Entry Period:

2.4 The Prize Draw is free to enter and no purchase is necessary. Entrants should be aware that they may be subject to local call charges depending on their own individual arrangements for Internet access.
2.5 By submitting a Prize Draw entry, you are agreeing to be bound by these terms and conditions.
3. Eligibility
3.1 The Prize Draw is open to all entrants (including members and non-members of the Promoter) aged 18 years or over with a valid credit card, except:
(a) employees of the Promoter or its holding or subsidiary companies;
(b) employees of agents or suppliers of the Promoter or its holding or subsidiary companies, who are professionally connected with the Prize Draw or its administration; or
(c) members of the immediate families or households of (a) and (b) above.
3.2 In entering the Prize Draw, you confirm that you are eligible to do so and eligible to claim the Prize. The Promoter may require you to provide proof that you are eligible to enter the Prize Draw.
3.3 There is a limit of one entry to the Prize Draw per person. Entries on behalf of another person will not be accepted and joint submissions are not allowed.
3.4 The Promoter reserves all rights to disqualify you if your conduct is contrary to the spirit or intention of the Prize Draw.
4. The prize
4.1 There will be a total of 2 winning entrants.
4.2 The Prize is not negotiable or transferable and no cash alternative is offered.
5. Winners
5.1 The Winners will be chosen:
a) The winner will be selected using a random automated generator.
5.2 The decision of the Promoter regarding any aspect of the Prize Draw is final and binding and no correspondence or discussion will be entered into.
5.3 All eligible participants' names will be entered into the automated generator, and one name will be drawn.
5.4 The selected winner and their chosen travel companion (as indicated at the time of entry) will be deemed the recipients of the prize. The draw will be conducted fairly and transparently, and the outcome will be final.
5.5 If any Winner does not respond to the Promoter within seven days of the second contact from the Promoter, then the Winner's Prize will be forfeited and the Promoter will be entitled to select another winner in accordance with the process described above.
5.6 The Promoter must either publish information that indicates that a valid award took place or send a direct message to to winner. To comply with this obligation the Promoter will publish the Instagram handle of the winner on Priority Pass’ Instagram and tag them, ensuring the winner has agreed to this after contacting them to notify them they have been selected as a winner. Prize Winners will be selected and announced at the end of each week, for a total of 13 weeks.
5.7 If you object to any or all of your surname, country and winning entry being published or made available, please contact the Promoter at Eleonora.Zankova@collinsongroup.com. In such circumstances, the Promoter must still provide the information and winning entry to the Advertising Standards Authority on request.
5.8 The Prize Membership will be sent to the Winners by email, within 30 days of being notified of their win, provided however that they comply with the conditions of clause 5.3, and subject to clause 5.8 below.
5.9 If any Winner is an existing member of the Promoter with any outstanding payments in relation to their Priority Pass memberships, they will be required to clear all debt on their account before the Prize will be sent.
5.10 The Prize may not be claimed by a third party on your behalf.
6. Limitation of liability
6.1 Insofar as is permitted by law, the Promoter, its agents or distributors will not in any circumstances be responsible or liable to compensate the Winners or accept any liability for any loss, damage, personal injury or death occurring as a result of taking up the Prize except where it is caused by the negligence of the Promoter, its agents or distributors or that of their employees. Your statutory rights are not affected.
7. Ownership of Prize Draw entries and intellectual property rights
7.1 All Prize Draw entries and any accompanying material submitted to the Promoter (including but not limited to the Photograph) will become the property of the Promoter on receipt and will not be returned.
7.2 By submitting your Prize Draw entry and any accompanying material, you confirm that you have the necessary rights and permission from everyone in the Photograph for it to be published and shared in accordance with these terms and you agree to:
(a) assign to the Promoter all your intellectual property rights with full title guarantee; and
(b) waive all moral rights,
in and to your Prize Draw entry and otherwise arising in connection with your entry to which you may now or at any time in the future be entitled under the Copyright, Designs and Patents Act 1988 as amended from time to time and under all similar legislation from time to time in force anywhere in the world.
7.3 You agree that the Promoter may, but is not required to, make your entry available on its website at https://www.prioritypass.com and any other media, whether now known or invented in the future, and in connection with any publicity of the Prize Draw. You agree to grant the Promoter a non-exclusive, worldwide, irrevocable licence, for the full period of any intellectual property rights in the Prize Draw entry and any accompanying materials, to use, display, publish, transmit, copy, edit, alter, store, re-format and sub-licence the Prize Draw entry and any accompanying materials for such purposes.
8. Data protection and publicity
8.1 By entering this Prize Draw, all entrants consent to the use of their personal data by the Promoter for the purposes of the administration of this Prize Draw and any other purposes to which the entrants have consented. Any uses of personal data received by the Promoter in the course of the Prize Draw are subject to all applicable data protection laws and to the privacy policy found on the Promoter’s website at https://www.prioritypass.com/privacy-notice.
9. General
9.1 If there is any reason to believe that there has been a breach of these terms and conditions, the Promoter may, at its sole discretion, reserve the right to exclude you from participating in the Prize Draw.
9.2 Use of the Prize Membership by any Winners and/or their guest(s) will be on the Promoter’s standard Conditions of Use, found on the Promoter’s website at: https://www.prioritypass.com/en/conditions-of-use.
9.3 The Promoter reserves the right to hold void, suspend, cancel, or amend the Prize Draw where it becomes necessary to do so.
9.4 The Promoter reserves the right to review, amend and/or revise these terms and conditions at any time without giving prior notice and, by continuing to take part in the Prize Draw subsequent to any revision of these Terms and Conditions, the entrants shall be deemed to have agreed to any such new or amended terms and the entrants agree that no liability shall attach to the Promoter as a result thereof.
9.5 The Promoter reserves the right at any time in its sole discretion and without notice to hold void, suspend, amend or revoke the Prize Membership, including without limitation as a result of being made aware by whatever means of any actions by any Winner which brings the Promoter into public disrepute, contempt, scandal or ridicule or reflect unfavourably on this Prize Draw as determined by the Promoter in its sole discretion.
9.6 The Prize Draw is in no way sponsored, endorsed or administrated by InstagramTM. Entrants must abide by the terms and conditions of each social media outlet as applicable (see their website for that information) to participate in any prize draw or competition, including this Prize Draw.
9.7 These terms and conditions shall be governed by the laws of England and Wales, and the parties submit to the non-exclusive jurisdiction of the courts of England and Wales.
